Non-Disclosure Agreement

This summarises the mutual confidentiality position Obrinex works under. For an executable NDA, contact info@obrinex.space and we will send the signable document.

Any non-public information disclosed by either party in connection with a potential or active engagement, whether marked confidential or not, where a reasonable person would understand it to be confidential.

Information that is already public, was already known without obligation, is independently developed without reference to the disclosure, or is lawfully received from a third party.

Each party uses the other's confidential information only for the engagement, discloses it only to people who need it and are under equivalent obligations, and protects it with at least reasonable care.

If the law compels disclosure, the disclosing party is notified where lawfully possible so it can seek protection.

Obligations run for the engagement and for three years afterwards. Trade secrets remain protected for as long as they qualify as such.
