Master Service Agreement

This summarises the framework under which Obrinex delivers work. Each engagement is defined by its own Statement of Work setting out deliverables, timeline and fees. Where a signed agreement exists, that agreement controls.

We deliver what the Statement of Work describes. Work outside that scope is agreed in writing before it starts, with any effect on timeline and fees stated up front.

Fees, milestones and payment terms are set in the Statement of Work. Invoices are payable within the period stated on them. Ongoing run costs such as model usage and infrastructure are passed through at cost unless agreed otherwise.

On full payment, ownership of the custom work product created for you transfers to you. Obrinex retains ownership of its pre-existing tools, libraries and general know-how, and grants you a licence to use them as part of the delivered system.

Each party protects the other's confidential information and uses it only to perform the engagement. This survives the end of the engagement.

Either party may end an engagement on written notice as set out in the Statement of Work. You pay for work performed up to termination, and we hand over completed deliverables.

Except for confidentiality breaches and payment obligations, each party's aggregate liability is limited to the fees paid under the relevant Statement of Work.
